im looking at buying a sears bolt action 12ga from a friend of mine its in nice shape other than two small spots of rust on the barrel so i guess it will have to be reblued (is this expensive), i fired about 40 rounds through it and it works flawlessly
so on to my question i would like to know what this is worth and who made it for sears ?

Rebluing a few rust spots shouldn't be hard, nor expensive (you can use cold blue kits from a gunshop). Before you go that route, try scrubbing those spots with some oil and 0000 steel wool (very fine). Sometimes the rust will come off and you'll have enough blue left and not need to reblue. As for value, about $50 if you're talking about the gun I'm thinking you are. Also, they are under a recall due to locking lug failures or something catastrophic like that. IIRC, Sears was giving a $100 bounty for these guns (nice when you can pick them up for less than $100).
I know Mossberg made guns like that for Sears. I think other companies did as well. I have one in 20Gauge. It was my grandfather's squirrel gun.

Here is a "Frequently Asked Questions" site that includes FAQs for Sear's J.C. Higgins brand firearms (http://www.faqfarm.com/Q/FAQ/414)
This FAQ deals with the shotguns effected by the safety recall (http://www.faqfarm.com/Q/Is_there_a_recall_on_JC_Higgins_model_58316_12_gauge_bolt_action_shotgun).

Just sent in my 12ga bolt for a $160 finders fee from Sears. Pretty easy - box, 2-day air shipping form, etc. Hopefully I'll have something positive to report in 4 - 6 weeks.

Numerous manufactures made guns for Sears. The Gun Parts Corp (Numrich) catalog lists 3 full pages under Sears, Ranger, J. C. Higgins and Sears/Ted Williams. There should be a model number somewhere on the gun that will reveal the manufacturer. These model numbers can be basic numbers, numbers and letters or a "Sears" xxx.x--- style number.

Buy it ans send in the bolt. The mossberg versions are in every gunshop for $50 tops. I actually had to give mine ( Mossberg) away to make room in the safe. Seems like nobody wants them.
